YES! it works now PERFECTLY!

THANK YOU! I (stupidly) assumed that since the PCMCIA card was "getting" (which probably it was not, or not in the regular sense) an IRQ, so must've been the case with the PCI card, and so the ERROR MESSAGE (that I was so happily letting go) meant nothing.

So ... for the sake of closure here :) here's what has to be done:

-append to the kernel (in lilo.conf) "pci=biosirq"

and
